Terms of Service

Please read these Terms carefully. They include an arbitration agreement and class-action waiver (Section 13) that affect how disputes are resolved, including a 30-day option to opt out. They also describe an automatically renewing subscription (Section 4). If you are a U.S. resident, the arbitration agreement requires most disputes to be resolved by binding individual arbitration rather than in court.

These Terms of Service ("Terms") govern your access to and use of Specter GTO ("Specter," "we," "us," or "our"), operated by Specter GTO LLC. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Specter is

Specter is an educational poker study and training tool delivered as subscription software by Specter GTO LLC. It helps you learn and review game-theory-optimal (GTO) strategy by surfacing pre-solved reference decisions. Specter is an informational and educational aid only. It does not play for you, does not guarantee winnings, profit, or any particular result, and poker outcomes depend on many factors outside any software's control.

2. Your responsibilities

You are responsible for understanding and following the rules and terms of service of any website, application, or game you use. Specter is not affiliated with, endorsed by, or connected to any poker platform. You are solely responsible for how you use the tool and for ensuring that your use complies with all agreements, laws, and regulations that apply to you. Some platforms restrict or prohibit the use of third-party assistance or automated tools; determining whether your use is permitted, and bearing any consequences of that use, is your responsibility alone.

3. Eligibility and accounts

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and able to form a binding contract to use Specter. By using the Service, you represent that you meet this requirement. You are responsible for safeguarding your account credentials and for all activity under your account, and for notifying us promptly at hello@spectergto.com if you believe your account has been used without authorization.

4. Subscriptions, billing, and automatic renewal

Specter offers a free tier and a paid Pro subscription. The free tier includes a limited monthly allowance and is not charged. Pro is a metered subscription billed in advance through our payment processor, Stripe: it includes a monthly usage allowance, and additional usage beyond that allowance may require a one-time top-up purchase. The current price, billing frequency, included allowances, and the price of any top-up are shown at the point of purchase before you provide payment information. We may from time to time offer promotional or discounted pricing (including grandfathered pricing for early subscribers) at our discretion.

Automatic renewal. Your Pro subscription automatically renews each billing period and your payment method is charged the then-current price until you cancel. By subscribing, you authorize us, through Stripe, to charge your payment method on a recurring basis. You may cancel at any time, online, through the billing portal in your account; cancellation takes effect at the end of the current billing period. We may change prices for future billing periods with advance notice as required by law. Billing, cancellation, and refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms.

5. Acceptable use

You agree not to misuse the Service, including by: attempting to disrupt or interfere with it; reverse-engineering it except as permitted by law; accessing it through unauthorized means; sharing, reselling, or sublicensing access without authorization; scraping or copying its data; or using it in any manner that violates these Terms, any third-party platform's terms, or any applicable law. We may suspend or terminate access for conduct that violates this section.

6. Intellectual property

The Service — including its software, solution data, text, design, and branding — is owned by Specter GTO LLC and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own educational use. You may not copy, redistribute, sublicense, resell, or create derivative works from the Service or its underlying data except as expressly permitted.

7. No guarantee of results

The Service is provided for educational purposes. We make no representation or warranty that using Specter will result in any particular outcome, including any financial outcome. You are solely responsible for your own decisions and results.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ITS OUTPUT WILL BE ACCURATE OR COMPLETE. YOU USE THE SERVICE AT YOUR OWN RISK.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER SPECTER GTO LLC NOR ITS OFFICERS, MEMBERS, EMPLOYEES, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS (USD $100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Specter GTO LLC and its officers, members, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any third-party platform's terms or any law, or your violation of the rights of any third party.

11. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law — will survive.

12. Governing law

These Terms are governed by the laws of the United States and the State of Texas, without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs Section 13. Subject to the arbitration agreement below, any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction there, except where applicable law provides otherwise.

13. Dispute resolution; arbitration agreement and class-action waiver

Please read this section carefully — it affects your legal rights.

Informal resolution first. Before starting an arbitration or court proceeding, you agree to first contact us at hello@spectergto.com and try to resolve the dispute informally for at least 30 days.

Binding arbitration. If we cannot resolve a dispute informally, you and Specter GTO LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration, rather than in court, except as provided below. Arbitration uses a neutral arbitrator and is more informal than a lawsuit in court.

Class-action waiver. You and Specter GTO LLC agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding. If this class-action waiver is found unenforceable as to a particular claim, that claim — and only that claim — will be severed and may proceed in court.

Exceptions (claims not subject to arbitration). Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property. As required by U.S. federal law, claims of sexual assault or sexual harassment are not subject to mandatory arbitration unless you elect arbitration after the dispute arises.

30-day right to opt out. You may opt out of this arbitration agreement and class-action waiver by emailing hello@spectergto.com within 30 days of first accepting these Terms, with your name, the email on your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms or your use of the Service.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and communicate the change through the Service or by email. Your continued use of the Service after a change takes effect means you accept the updated Terms.
