These Terms of Service ("Terms") govern your access to and use of Specter GTO ("Specter," "we," "us," or "our"), operated by Specter GTO LLC. By creating an account, joining the waitlist, or using the service, you agree to these Terms.
1. What Specter is
Specter is an educational, game-theory-optimal (GTO) poker study and training tool delivered as subscription software by Specter GTO LLC. It helps you learn and review GTO strategy by surfacing pre-solved reference decisions. Specter does not guarantee winnings, profit, or results of any kind — poker outcomes depend on many factors outside any software's control.
2. Your responsibilities
You are responsible for understanding and following the rules and terms of service of any site, app, or game you use. Specter is not affiliated with, endorsed by, or connected to any poker platform. You are solely responsible for how you use the tool and for ensuring your use complies with all agreements, laws, and regulations that apply to you. Some platforms restrict the use of real-time assistance tools; determining whether your use is permitted is your responsibility alone.
3. Eligibility and accounts
You must be of legal age in your jurisdiction to form a binding contract to use Specter. You are responsible for safeguarding your account credentials and for all activity under your account, and for notifying us promptly if you believe your account has been accessed without authorization.
4. Subscriptions and billing
Specter offers a free tier that includes preflop solutions and a paid Pro subscription at $149 per month that unlocks the full solution set. Paid subscriptions are billed in advance through our payment processor, Stripe, and renew automatically each month until cancelled. By subscribing, you authorize us, through Stripe, to charge your payment method on a recurring basis. You may cancel at any time from your account. Billing, cancellation, and refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms. We may change prices for future billing periods with reasonable notice.
5. Acceptable use
You agree not to misuse the service, including by attempting to disrupt or interfere with it, reverse-engineer it except as permitted by law, access it through unauthorized means, share or resell access without authorization, or use it in any manner that violates the terms of any third-party platform or any applicable law.
6. Intellectual property
The service — including its software, solution data, text, design, and branding — is owned by Specter GTO LLC and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the service for your own educational use. You may not copy, redistribute, sublicense, resell, or create derivative works from the service or its underlying data except as expressly permitted.
7. No guarantee of results
Specter is provided for educational purposes. We make no representation or warranty that using Specter will result in any particular outcome, including any financial outcome.
8. Disclaimers
The service is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, timely, secure, or error-free, or that any decision, reading, or output will be accurate or suitable for your circumstances. You use the service at your own discretion and risk.
9. Limitation of liability
To the maximum extent permitted by law, Specter GTO LLC and its owners, affiliates, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of (or inability to use) the service. To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the service or these Terms will not exceed the greater of the total amount you paid us in the twelve (12) months before the event giving rise to the claim, or USD $100.
10. Termination
You may stop using the service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, misuse the service, or where necessary to protect the service or other users. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will survive.
11. Governing law and dispute resolution
These Terms are governed by the laws of the United States and the State of Texas, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the service will be brought in the state or federal courts located in Texas, and you consent to their personal jurisdiction, except where applicable law provides otherwise.
12. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and communicate the change through the service or by email where appropriate.
